Since our inception, the Rounsavall Title Group has represented a variety of commercial real estate clients including banks, lenders, developers and other real estate professionals. Our staff has extensive experience closing commercial loan transactions and assisting in the development of commercial properties, such as commercial buildings and multifamily properties. But it is important to note that our commercial practice embraces the same commitment to excellent service upon which our residential practice was founded.

 

We provide several different services to our clients in this field, including:

Contract Production

Contract Production

The preparation and negotiation of key contract provisions in commercial real estate sales contracts and/or sale of asset transactions, as well as the preparation and negotiation of confidentiality and non-compete agreements, which are often essential in the sale of an existing business operation to a new owner.

Title Commitments

The research and preparation of the title commitment for any real property included in the transaction, as well as the resolution of any defects in the chain of title so that clear title is provided to the purchaser at closing.

Uniform Commercial Code (UCC) Searches

UCC Searches

The performance and review of any and all applicable Uniform Commercial Code (UCC) searches and other required documents to ensure transfer of clear title of any commercial assets to the purchaser.

Preparation of Closing Documents

The preparation of all required closing documents, depending on whether the client is the lender, buyer, or seller, which may include:

  • Affidavits of Title
  • Bills of Sale
  • Closing Statements
  • Deeds of Transfer
  • Tenant Rent Rolls
  • Tax Proration Agreements
  • Real Estate Transfer Forms
  • Assignments of Leases
  • Pay-Off Letters

Representation of Clients at Closing

The representation of clients at closing, which may include providing a thorough explanation of all loan documents to purchasers and reviewing all documents signed at closing to ensure proper and efficient transfer of title.
